CARRIER to INSTANT LOGISTICS CORP Agreement

This CARRIER to INSTANT LOGISTICS CORP Agreement (“Agreement”) is entered into as of:

and INSTANT LOGISTICS CORP. Collectively, CARRIER and INSTANT LOGISTICS CORP shall be referred to as the “Parties.”

1. CARRIER agrees to provide freight transportation services to Instant Logistics Corp as an independent contractor subject to the terms and conditions of this Agreement.
2. CARRIER warrants possess all necessary authority, licenses, and permits to operate as a motor CARRIER and has complied with all applicablelaws and regulations.
3. INSTANT LOGISTICS CORP agrees to act as an intermediary between CARRIER and shippers or consignees to arrange transportation services on behalf of CARRIER.
4. This Agreement governs all transportation services provided by CARRIER to INSTANT LOGISTICS CORP during the term of this Agreement.
5. CARRIER Obligations 2.1 CARRIER shall: a) Provide reliable and safe transportation services to INSTANT LOGISTICS CORP and their customers. b) Comply with all applicable federal, state, and local laws and regulations in relation to transportation services. c) Provide to INSTANT LOGISTICS CORP and Maintain valid insurance coverage, including liability for injuries or death of person and damage to property in a combined single limit of not less then $100,000 and workers’ compensation insurance, throughout the term of this Agreement. d) Maintain well-maintained and roadworthy equipment necessary for providing transportation services. e) Assign competent drivers who possess
   necessary licenses and experience. f) Maintain accurate and up-to-date records, including but not limited to, bills of lading, delivery receipts, and driver logs. g) Inform INSTANT LOGISTICS CORP immediately of any changes that may affect CARRIER’s ability to provide agreed-upon services.
6. INSTANT LOGISTICS CORP shall: a) Act in good faith and use its best efforts to secure transportation opportunities for CARRIER. b) Provide accurate and timely information to CARRIER regarding shipment details, including pickup and delivery locations, dates, and requirements. c) Promptly remit payment for transportation services rendered by CARRIER in accordance with the agreed- upon terms. d) Coordinate and communicate with CARRIER and shippers or consignees to ensure the smooth execution of transportation services. e) Notify CARRIER in advance of any changes to the agreed-upon services.
7. Compensation 4.1 CARRIER shall be compensated by INSTANT LOGISTICS CORP for the transportation services provided based on the rates mutually agreed upon by the Parties. CARRIER will bill, all charges for transportation services directly and exclusively to INSTANT LOGISTICS CORP and shall provide a copy of the signed bill of lading and delivery receipts 4.2 INSTANT LOGISTICS CORP shall pay CARRIER within 30 days from the date of receipt of a complete and accurate invoice, unless otherwise agreed upon.
8. The Relationship of CARRIER to INSTANT LOGISTICS CORP shall, at all times, be that of an independent contractor, except that INSTANT LOGISTICS CORP shall be the agent for the CARRIER for the collection and payment of charges to CARRIER. The CARRIER authorizes INTANT LOGISTICS CORP to invoice the consignor or consignee for freight charges on behalf of the CARRIER and the CARRIER agrees that INSTANT LOGISTICS CORP is solely responsible for payment of all freight charges to the CARRIER.
9. Term and Termination 5.1 This Agreement shall commence on the effective date and shall continue until terminated by either Party. Either Party may terminate this Agreement upon not less then 30 days written notice to the other Party. 5.2 Upon termination, both Parties shall settle all outstanding payments, obligations, and responsibilities. 5.3 The provisions related to insurance and indemnification shall survive any termination of this Agreement.
10. Both Parties agree to uphold the strict confidentiality of all proprietary information, trade secrets, customer information, and other confidential details obtained during their engagement. This information shall not be disclosed to any third party, including the customer, shipper, or receiver, without prior written consent, except as required by law. Any breach of this agreement will result in the withholding of the final invoice payment.
11. Governing Law and Dispute Resolution 7.1 This Agreement shall be governed by and construed in accordance with the laws of Canada and United States of America. 7.2 Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations. If the Parties are unable to resolve the dispute, they agree to seek mediation or arbitration as mutually agreed upon.
12. Entire Agreement 8.1 This Agreement constitutes the entire understanding and agreement between the Parties and supersedes any prior agreements, whether written or oral, relating to the subject matter contained herein. 8.2 Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.

LOGISTICS CORP Agreement as of the date first above written.
